Outbound Compliance Agreement

Who this is between

This Outbound Compliance Agreement (the "Agreement") is between RoseGlass, operator of bullpen.sale ("Bullpen", "we"), and the organization that accepts it through the Bullpen app ("Customer", "you"). It governs every call, text and email that Bullpen places or sends on your behalf, including calls made by Rose, Bullpen's AI setter, and messages sent by the AI SDR. It is part of, and supplements, the bullpen.sale Terms & Conditions.

By checking the acceptance box, the person accepting confirms they are authorized to bind the Customer organization.

1. You will not cold-call cell phones with an AI voice

The Federal Communications Commission has ruled that calls made with an AI-generated or synthetic voice are "artificial or prerecorded voice" calls under the Telephone Consumer Protection Act (47 U.S.C. § 227). Marketing calls of that kind to a cellular telephone number require the called party's prior express written consent.

You agree that you will not direct, configure, or allow Bullpen to place an AI-voice call to any cellular number unless you hold the called party's prior express written consent for such calls, and that you will record the source, date and wording of that consent in Bullpen (or in a system you can produce on request) before the call is placed.

Bullpen's software checks the line type of every number before dialing and will refuse to place an AI-voice call to a number it identifies as mobile without a consent record. You acknowledge that this check is an aid and not a guarantee: line-type data can be wrong, numbers get ported, and a consent record you enter is only as good as the consent behind it.

2. Do-Not-Call lists and opt-outs

Before any outbound campaign you will scrub your lists against the National Do Not Call Registry and every applicable state do-not-call list, and you will re-scrub at least every 31 days. You will honor every request to stop contact — spoken on a call, replied by text ("STOP"), replied by email, or recorded in your CRM — immediately and permanently, and you will not re-import a contact who has opted out.

3. Calling hours, caller identity, recording

You will only contact people between 8:00 a.m. and 9:00 p.m. in the called party's local time, and within any narrower window required by their state (for example Florida and Texas). You will use accurate caller ID that identifies your organization, and you will not ask Bullpen to spoof or obscure it. You acknowledge that Bullpen records calls and that you are responsible for any notice or consent that recording requires in the called party's jurisdiction; Bullpen's default opener includes a recording notice, which you will not remove.

4. Honesty about AI

Rose will truthfully identify herself as an AI whenever asked, and will do so at the start of a call where state law requires it. You will not instruct or configure Bullpen to deny being an AI, to claim to be a specific human, or to deceive the people it contacts about who is calling or why.

5. Your lists are yours

You represent that you have the legal right to contact every person on any list you load into Bullpen, that any data you purchase or import was obtained lawfully, and that your use of Bullpen complies with the TCPA, the Telemarketing Sales Rule, CAN-SPAM, state telemarketing and privacy laws, and the rules of the carriers and messaging platforms Bullpen uses.

6. Final responsibility for compliance is yours

Bullpen is a tool. We build in safeguards — line-type checks, consent records, calling-hour windows, opt-out handling, frequency caps — because we want you to succeed and we want to keep the phone network working for everyone. But we do not know your lists, your consents, or your business, and we cannot verify them. You agree that you, and not Bullpen, are solely and finally responsible for the legality of every contact made through your workspace.

To the fullest extent permitted by law, Bullpen, RoseGlass, and their owners, officers, employees and contractors are not liable for any fine, penalty, damages, settlement, or cost arising from calls, texts or emails made through your workspace, including claims under the TCPA, the TSR, state telemarketing or privacy laws, or carrier rules.

7. Indemnification

You will defend, indemnify and hold harmless Bullpen, RoseGlass, and their owners, officers, employees and contractors from and against any claim, demand, investigation, fine, penalty, loss, cost or expense (including reasonable attorneys' fees) arising out of or relating to contacts made through your workspace or your breach of this Agreement.

8. Suspension

We may pause or terminate outbound activity in your workspace at any time if we believe it violates this Agreement or the law, if a carrier or regulator complains, or if we see patterns consistent with abuse. We will tell you why. Fees for the current period are not refunded in that case.

9. Changes

We will update this Agreement as the law changes. When we do, outbound activity pauses until an authorized person in your workspace accepts the new version. Each acceptance is recorded with the version, the accepting user, the time, and the network address it came from.

Accepted inside the app by an authorized person for each workspace. See also the Terms & Conditions and Privacy Policy.
